Terms of Service

These Terms of Service ("Terms") govern your access to and use of ReviewReplier (the "Service"), operated at reviewreplier.app. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ReviewReplier is a web application that helps small businesses read and reply to public reviews on third-party platforms, including Google Business Profile. The Service uses third-party APIs and large language models, on your instruction, to draft suggested replies in a voice you configure. You decide whether to publish each reply, except where you have explicitly enabled an autopilot feature for a given location.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract.
You must be the owner, employee, or authorised agent of any business whose reviews you connect to the Service. You represent that you have the right to manage that business's listings on each connected platform.
You are responsible for keeping your account credentials secure and for all activity that occurs under your account.
One person or business per account. You may not share your account.

3. Acceptable use

You agree not to, and not to permit anyone else to:

use the Service to violate any law or the terms of any third-party platform you connect (including the Google Terms of Service and Google Business Profile policies);
post replies that are deceptive, threatening, harassing, defamatory, hateful, sexually explicit, or that impersonate another person or business;
publish content you do not have the right to publish;
attempt to interfere with, disrupt, or gain unauthorised access to the Service, our servers, or any related systems;
scrape, crawl, or harvest data from the Service, or use the Service to scrape, crawl, or harvest data from any third-party platform in a way that violates that platform's terms;
reverse-engineer, decompile, or attempt to extract source code from the Service except as expressly permitted by law;
resell, sublicence, or commercialise the Service or any part of it without our prior written consent.

4. Connecting third-party accounts

To use the parts of the Service that read or post reviews, you can authorise ReviewReplier to access a third-party account (for example, Google Business Profile) using OAuth. Your continued use of those features is subject to the third party's terms. You can revoke ReviewReplier's access at any time, either inside the Service (Settings → Disconnect) or in the third-party platform's account settings. If you revoke access, related features will stop working immediately.

5. AI-generated content

ReviewReplier uses Anthropic's Claude API to draft suggested replies based on the review text and the voice you configure. AI-generated text can be inaccurate, repetitive, or otherwise unsuitable for your business. You are responsible for reviewing every reply before publication. Where you enable autopilot for a location, you authorise the Service to publish AI drafts on your behalf without further human review, and you accept responsibility for those replies as if you had written them yourself.

6. Your content and ownership

You retain all rights to the business information, voice configuration, drafts, and replies you create using the Service ("Your Content").
You grant ReviewReplier a worldwide, non-exclusive, royalty-free licence to host, store, transmit, and display Your Content for the sole purpose of operating the Service for you. This licence ends when you delete the relevant content or your account.
We do not claim any ownership of Your Content, and we do not use Your Content to train AI models.

7. Our intellectual property

The Service, including its software, design, text, and logos (other than third-party marks belonging to their respective owners), is owned by ReviewReplier and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service in accordance with these Terms. We reserve all rights not expressly granted.

8. Fees, billing, and free use

ReviewReplier may be offered free of charge or on a paid subscription basis. If a paid plan applies to your account, the price, billing cycle, and any free trial will be presented at sign-up and you will be asked to confirm before any charge. We may change prices for future billing periods on at least 30 days' notice; if you do not accept a new price, you may cancel before it takes effect. Except where required by law, fees already paid are non-refundable. Taxes are your responsibility unless we are required to collect them.

9. Changes to the Service

We are actively developing the Service and may add, change, or remove features over time. We will give reasonable advance notice of changes that materially reduce functionality where practicable.

10. Suspension and termination

You may stop using the Service at any time and may delete your account from Settings → Delete account.
We may suspend or terminate your access if you breach these Terms, if your use poses a security or legal risk, or if a third-party platform we rely on requires us to do so.
On termination, your right to use the Service ends immediately. We will delete your account data as described in our Privacy Policy.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR FIT FOR ANY PARTICULAR PURPOSE.

You are solely responsible for the replies you publish to third-party platforms through the Service and for compliance with those platforms' policies.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIEWPILOT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) £100.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law.

13. Indemnity

You agree to indemnify and hold ReviewReplier harmless from any claim, loss, or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) replies or other content you publish through the Service, or (c) your violation of any third-party right, including the terms of any platform you connect.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales have exclusive jurisdiction over any dispute relating to these Terms or the Service, except that we may bring proceedings to enforce our intellectual-property rights in any jurisdiction. If you are a consumer, this clause does not deprive you of the protection of any mandatory law of the country where you reside.

15. Changes to these Terms

We may update these Terms from time to time. If a change is material we will notify you by email and post a notice in the Service at least seven days before the change takes effect. Your continued use after the effective date means you accept the updated Terms.

16. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
Our failure to enforce any provision is not a waiver of our right to do so later.
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
These Terms, together with our Privacy Policy, are the entire agreement between you and ReviewReplier regarding the Service.
